Welcome to Taxly. These Terms of Service ("Terms") govern your use of the Taxly platform and services operated by Taxly Africa Limited (RC: 8491037).

1. Acceptance of Terms

By accessing or using the Taxly platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services. These terms constitute a legally binding agreement between you and Taxly Africa Limited.

We reserve the right to modify these terms at any time. Your continued use of the platform following any changes constitutes acceptance of the revised terms.

2. Services Description

Taxly provides AI-powered tax compliance, business registration, and regulatory services for businesses operating in Africa. Our services include but are not limited to: business name and company registration, tax identification number (TIN) registration, VAT filing, corporate income tax compliance, PAYE remittance, annual returns filing, regulatory registrations (SCUML, NSITF, NITDA), payroll management, bookkeeping, and tax advisory.

While we use advanced technology and qualified professionals to deliver our services, we do not provide legal advice. For complex legal matters, we recommend consulting a licensed legal practitioner.

3. User Accounts

You must create an account to access our services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You must notify us immediately of any unauthorised use of your account. Taxly will not be liable for any loss arising from unauthorised use of your account where you have failed to safeguard your credentials.

4. Payment Terms

Fees for our services are as displayed on the platform at the time of purchase. All prices are quoted in Nigerian Naira (NGN) unless otherwise stated. Payment is required before service delivery commences, unless otherwise agreed in writing.

Refunds are available in accordance with our refund policy. Government filing fees and third-party charges are non-refundable once submitted to the relevant authority. Subscription services may be cancelled at any time, with cancellation taking effect at the end of the current billing period.

5. Intellectual Property

All content, features, and functionality of the Taxly platform — including but not limited to text, graphics, logos, software, and the underlying AI technology — are the exclusive property of Taxly Africa Limited and are protected by Nigerian and international intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any part of our platform without our express written consent. Your use of our services does not grant you any ownership rights in our intellectual property.

6. Limitation of Liability

To the fullest extent permitted by law, Taxly Africa Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claim arising from or related to these terms shall not exceed the amount you have paid to Taxly in the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.

Taxly shall not be liable for penalties, interest, or other charges imposed by any government authority where such liability arises from inaccurate or incomplete information provided by you, or from delays caused by factors beyond our reasonable control.

7. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or related to these terms or your use of our services shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023.

For users of our services in other jurisdictions (Kenya, Ghana, and the United States), local consumer protection laws may apply to the extent they cannot be excluded by contract.

8. Changes to Terms

We may update these Terms of Service from time to time to reflect changes in our services, legal requirements, or business practices. We will notify you of material changes by posting the updated terms on our platform and, where appropriate, by sending an email notification.

Your continued use of the platform after any such changes constitutes your acceptance of the new terms. If you do not agree to the modified terms, you should discontinue your use of the platform.
